Software License Agreement

Effective Date: January 1, 2026

This Software License Agreement governs the use of custom software developed and delivered by Papaya Web Services ("Licensor") to the client ("Licensee").

1. Grant of License

Upon full payment of all project fees, Licensor grants Licensee a perpetual, non-exclusive, non-transferable license to use the delivered software for the Licensee's business purposes.

2. Ownership

Custom code written specifically for the Licensee's project becomes the property of the Licensee upon full payment. Pre-existing frameworks, libraries, and tools used in development remain the property of their respective owners.

3. Restrictions

The Licensee may not:

• Resell, sublicense, or distribute the software as a standalone product
• Remove any proprietary notices or attribution where applicable
• Use the software for purposes that violate applicable law

4. Warranties

Papaya Web Services warrants that delivered software will perform substantially as described in the project agreement for a period of 30 days after delivery. Beyond this period, software is provided "as is."

5. Support

Post-launch support is included as described in the project agreement. Additional support beyond the agreed scope may be arranged separately.

6. Limitation of Liability

Licensor shall not be liable for any indirect, incidental, or consequential damages arising from the use of the software. Total liability is limited to the fees paid for the specific project.

7. Termination

This license terminates automatically if the Licensee breaches any of its terms. Upon termination, the Licensee must cease all use of the software.
